Vendor Terms and Conditions for The Artisan Market Store

1. Introduction

Welcome to The Artisan Market Store! These Terms and Conditions (“Terms”) govern your use of our platform as a vendor (“Vendor,” “you,” “your”). By registering for a vendor account, you agree to be bound by these Terms, as well as our general Terms of Service and Privacy Policy. The Artisan Market Store (“we,” “us,” “our”) provides an online platform for you to sell your products (“Products”) to customers (“Customers”).

2. Vendor Account & Registration

  • Eligibility: To become a Vendor, you must be at least 18 years old and legally able to enter into a binding contract. You must provide accurate and complete information during the registration process.
  • Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
  • Account Approval: We reserve the right to approve or reject any vendor application at our sole discretion.

3. Product Listings & Content

  • Permitted Products: You may only list products that you have the legal right to sell. All products must be accurately described and fall into the categories permitted by The Artisan Market Store. Prohibited items include, but are not limited to, illegal items, counterfeit goods, and products that infringe on intellectual property rights.
  • Listing Responsibility: You are solely responsible for all content, including images, descriptions, and prices, that you upload to your store. All listings must be professional, accurate, and free of misleading information.
  • Product Weight & Dimensions: You are required to provide accurate weight and dimensions for every product you list. This information is critical for the automatic generation of shipping labels. Failure to provide accurate data may result in incorrect shipping charges or order fulfillment issues.
  • Content License: By listing products on our platform, you grant The Artisan Market Store a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your content (images and text) for marketing and promotional purposes.

4. Fees, Payments, and Payouts

  • Commission Fee: The Artisan Market Store will charge a commission fee on the sale of your products. This fee is calculated as a percentage of the product’s sale price only. Commission is not applied to shipping costs or taxes collected. The current commission rate will be communicated to you during onboarding and is subject to change with 30 days’ prior notice.
  • Payment Processing: All payments from Customers are processed through our designated payment gateway.
  • Payouts: Vendor earnings (total product sales minus our commission fee) will be paid out on a regular schedule. Payouts will be made to the payment method you provide in your vendor dashboard. A minimum payout amount may apply.
  • Tax Responsibility (Crucial): You are solely and exclusively responsible for determining your legal requirement to register for, collect, and remit any and all applicable taxes, including VAT, for the sales you make. The Artisan Market Store provides tools for VAT-registered vendors to manage tax collection, but we do not provide tax advice. Your tax obligations are dictated by your business location, revenue, and the location of your customers.

5. Order Fulfillment & Shipping (Centralized Model)

  • Exclusive Shipping Method: All orders must be shipped exclusively through The Artisan Market Store’s integrated DHL Express system. You are not permitted to use alternative shipping carriers.
  • Label Generation: For each order, a DHL shipping label will be automatically generated based on the product weight and dimensions you provided. You are responsible for printing this label directly from your vendor dashboard.
  • Dispatch Responsibility: You must package the order securely, affix the provided DHL label, and dispatch the package in a timely manner as outlined in our global Shipping Policy. This includes arranging for package collection or dropping it off at a designated DHL service point.
  • Shipping Costs: The cost of shipping is paid by the customer and is managed by The Artisan Market Store to cover the cost of the DHL label. This amount is not included in your payout.

6. Returns, Refunds, and Customer Service

  • Compliance: You agree to comply with The Artisan Market Store’s global Cancellation, Return & Exchange Policy. This is the minimum standard of service you must provide. This includes honoring the 14-day cooling-off period for customers within the EU.
  • Customer Inquiries: You are the first point of contact for customer service inquiries related to your products, shipping status, and returns. You must respond to customer inquiries within a reasonable timeframe (e.g., 48 hours).
  • Disputes: While we may help facilitate the resolution of disputes, The Artisan Market Store is not responsible for resolving disputes between you and a Customer.

7. Vendor’s Own Store Policies

  • Supplemental Policies: You may create and display your own policies on your individual store page, provided they supplement and do not conflict with The Artisan Market Store’s global policies. For example, you may offer a longer return period.
  • Primacy of Global Policies: In any case of conflict or discrepancy, The Artisan Market Store’s global policies will always take precedence. Your policies cannot offer fewer rights or protections to the Customer than those established by The Artisan Market Store.
  • Approval and Display: Any additional store policies must be clearly displayed on your vendor store page. We reserve the right to review and request the modification of any vendor policy.

8. Vendor Conduct & Responsibilities

  • Compliance with Laws: You agree to comply with all applicable laws and regulations in the jurisdictions where you operate and sell your products.
  • Professionalism: You must conduct yourself in a professional manner in all communications with Customers and The Artisan Market Store staff.
  • Intellectual Property: You represent and warrant that you own or have the rights to use all intellectual property associated with your products and content.

9. Termination

  • Termination by Vendor: You may terminate your vendor account at any time by providing written notice to us.
  • Termination by The Artisan Market Store: We reserve the right to suspend or terminate your vendor account at any time, without notice, for any violation of these Terms.
  • Effect of Termination: Upon termination, you will still be responsible for fulfilling any outstanding orders. We will pay out any remaining earnings due to you on the next scheduled payout date.

10. Limitation of Liability & Indemnification

  • Limitation of Liability: The Artisan Market Store will not be liable for any direct, indirect, incidental, or consequential damages arising out of your use of the platform.
  • Indemnification: You agree to indemnify and hold harmless The Artisan Market Store, its affiliates, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and/or by sending you an email. Your continued use of the platform after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malta.
